   • This charge is necessary to account for the extra time required by THE MODULAR KARPENTER's team to provide continued design services.

   • The additional time allows for further refinement and adjustments based on the Customer's requests or changes made during this phase.

2. Late Payment Charges:

   • In case there are delays in payment from the Customer beyond the agreed-upon due date, late payment charges will be applicable.

   • The late payment charge is set at ₹1000 per day and will accrue from the day following the original due date until full payment is received by THE MODULAR KARPENTER.

   • These charges serve as a reminder of prompt payments and compensate for any inconvenience caused by delayed payments.

3. Load-Holding Charges:

   • If products/materials prepared at THE MODULAR KARPENTER's factory cannot be dispatched to the site due to reasons directly attributed or caused by the Customer, load-holding charges shall apply.  

   • These load-holding charges amount to ₹1000 per day until such time that THE MODULAR KARPENTER can dispatch said products/materials as intended.  

   • It is mandatory for these load-holding charges to be paid in full by the Customer before any dispatch can take place.

1. Increase in Estimated Project Value:

   • If there is an increase in the estimated project value due to changes or additions requested by the Customer, additional payment will be required immediately upon revision.

2. Payment for Vendor Products:

   • All vendor products specified in the quotation must be paid for in full along with the Production Initiation Fee as per the agreed-upon terms.

   • This includes payments for any items sourced from external vendors to complete the project.

3. Handover of Products:

   • The Customer acknowledges that it is their responsibility to take handover of products within 30 days from THE MODULAR KARPENTER's notification that they are ready for dispatch.

   • Failure to do so may result in storage charges or potential damage liability if products remain at THE MODULAR KARPENTER's factory or warehouse due to non-payment of Execution Initiation Fee and Load Holding Charges, if applicable.

4. Non-Refundable Payments:

   • All payments made by the Customer at any stage are non-refundable upon termination or cancellation of this Agreement, regardless of reason.

   • The Customer shall not be entitled to claim any refund if either party terminates this Agreement at any stage, under any circumstances.

5. Inclusive Taxes:

   • All project values provided in estimates include taxes based on prevailing government tax rates/structure at that time.

6. Bank and Payment Gateway Fees: Any fees associated with bank transactions or payment gateways shall be borne by the Customer when applicable.

7. Final Site Handover: Final site handover will only occur once all outstanding payments  have been received by THE MODULAR KARPENTER as per the agreed-upon terms.​​

8. Design:

   • Please note that we do a draft concept design and the renders are only produced once the material has been finalized.

   • Please adhere to the tried and tested dimensions suggested by the designers as they would be much more experienced in these terms.

   • 2 Complementary Photo-realistic rendering of the interiors of views chosen by customer. Additional renders costing Rs. 2000 each.

   • 3 Days of Designer’s consultancy to help you with light fixture/curtain/wall-paper/art item purchase. Beyond that the consultancy charges are Rs.2500 per visit.

9. Execution:​

   • Any modification/addition/removal of furniture unit upon the approval of drawings shall not be encouraged in the agreed timeline. Thus, modification/addition would be charged extra and will depend on the circumstances and shall be fulfilled after the end of the agreed project timeline. Any cancelled furniture will not be refunded.

   • Installation team would require functional lift facility beyond 2nd floor. Please ensure the same is/would be available during installation failing which the project shall be stalled unless such facility is made.

   • As provided in Package, Site visits as per customer convenience to the work site during the execution period for clarifications; beyond which consultancy charges of Rs.2500 apply per visit.                                                                                                                                                    

10. Wardrobe Specifications: By default, wardrobes include 2 drawers as per estimate. Any additional internal drawers will incur separate costs added separately to estimate.

11. Electrification: Electrification covers only the alteration of existing electrical wiring, including labor and material.

Any changes or additions to electrical points must be finalized during the Design Phase. Differential electrification costs resulting from changes made after the Design Phase must be paid in full along with the Execution Initiation Fee.

2. This includes claims or demands arising out of User Content submitted by the Users. It also covers claims related to the registration data provided by the Users or any other information submitted.

3. The indemnification extends to claims resulting from the use of any Services by the User in violation of this T&C (Terms & Conditions) or Privacy Policy.

4. In addition, if there is a breach of covenants or representations and warranties stated in this agreement by the User.

5. The indemnification further encompasses claims arising from violations committed by the User against another party's rights including infringement of Intellectual Property Rights.

6. Finally, it includes claims resulting from violations committed by the User against Applicable Laws.

Third Party Products:

1. These additional terms are applicable when you purchase products on THE MODULAR KARPENTER's Platform that are not manufactured by THE MODULAR KARPENTER but sold through third-party vendors ("Vendors").

2. While THE MODULAR KARPENTER may not have control over these transactions or acts/omissions of Vendors involved in such transactions, THE MODULAR KARPENTER cannot be held responsible for non-performance/breach in contracts between you as a Customer and those Vendors.

   • There is no guarantee made that Vendors will fulfill their obligations under transactions concluded on THE MODULAR KARPENTER's Platform.

   • It should be noted that THE MODULAR KARPENTER does not make any representation or warranty regarding attributes such as quality, worthiness marketability etc., pertaining to items/services proposed to be sold on its Platform by these third-party Vendors.

   • In particular, THE MODULAR KARPENTER neither implicitly nor explicitly supports or endorses the sale of any items/services on its Platform by these Vendors.

   • Consequently, THE MODULAR KARPENTER accepts no liability for any errors or omissions made by either itself or third parties involved in such transactions.

By agreeing to these terms and conditions, you release and indemnify THE MODULAR KARPENTER, as well as its officers and representatives from any cost, damage, liability or other consequence arising from the actions of the Vendors on the Platform. This includes waiving any claims under applicable law that you may have against them in this regard.

It's important to note that while THE MODULAR KARPENTER makes reasonable efforts to ensure accurate information provided by Vendors is available on its Platform, THE MODULAR KARPENTER cannot control all aspects of the information provided by other Vendors which may be offensive, harmful, inaccurate or deceptive.

2. Caution should be exercised when using the platform along with common sense and safe trading practices are advised when engaging with vendors on it.

3. Please also be aware that there are risks associated with dealing with foreign nationals, underage individuals or people acting under false pretenses.

THE MODULAR KARPENTER's Ownership:

1. THE MODULAR KARPENTER is the sole owner or lawful licensee of all rights and interests in the Platform and the Data contained within it.

2. The Platform embodies THE MODULAR KARPENTER's Intellectual Property Rights, which are protected under worldwide copyright, trademark, and other applicable laws.

3. All title, ownership, and Intellectual Property Rights in the Platform and Data shall remain with THE MODULAR KARPENTER and its affiliates.

4. Any rights not explicitly claimed under this T&C or Privacy Policy by THE MODULAR KARPENTER are hereby reserved.

Trademarks:

1. The Portal, along with related icons and logos, are registered trademarks or service marks of THE MODULAR KARPENTER in various jurisdictions.

2. These trademarks are protected under applicable copyright, trademark, and other proprietary rights laws.

3. Unauthorized copying, modification, use or publication of these marks is strictly prohibited.

1. Drawings, designs specifications, prepared by THE MODULAR KARPENTER for a specific project are considered instruments of service solely for use with that particular project. This includes documents in electronic form.

   • It should be noted that THE MODULAR KARPENTER shall be deemed as both authoring party as well as owner of these Designs. As such, they retain all common law statutory rights along with any other reserved rights including copyrights pertaining to these Designs.

   • The Customer is not permitted to use these Designs for future additions/alterations to the same project or for any other projects without prior written agreement from THE MODULAR KARPENTER.

2. The Customer agrees to indemnify and hold harmless THE MODULAR KARPENTER against any loss or damage caused by unauthorized use of the Designs by the Customer.

3. The Customer shall be liable for any loss or damage resulting from such unauthorized use and shall indemnify THE MODULAR KARPENTER accordingly.

These terms and conditions have been established to protect THE MODULAR KARPENTER's intellectual property rights and ensure that the Designs remain under their control. It also clarifies that any unauthorized use of these Designs by the Customer will result in liability on the part of the Customer.

Detailed warranty terms and conditions:

Product Warranty:

• THE MODULAR KARPENTER warrants that the products sold meet their descriptions or specifications, subject to proper use, storage, and application according to THE MODULAR KARPENTER's standard instructions and recommendations.

  • It should be noted that this warranty is subject to any exclusions specified in the Warranty Letter.

Replacement for Manufacturing Defects:

• In cases where there is a manufacturing defect covered under warranty, THE MODULAR KARPENTER will provide a replacement product as per the terms and conditions outlined in the Warranty Letter.

Limited Warranty:

1. Unless prohibited by mandatory applicable law, the warranty provided herein expressly replaces all other warranties, whether expressed or implied. This includes warranties of merchantability, quality, fitness for use and purpose.

Notice of Defects:

1. Unless THE MODULAR KARPENTER receives written notice from the Customer within the applicable warranty period regarding any alleged manufacturing defects in supplied goods/products, The delivered goods/services shall be deemed to have been supplied and accepted in full conformity with the Agreement.

   • The Customer will not be entitled to reject them or raise claims for damages or other remedies based on alleged negligence, breach of warranty or any condition.

Limitation of Warranties:

• Any warranties provided by THE MODULAR KARPENTER are specifically limited only to the Customer mentioned herein. They are not extended directly or indirectly, expressly or implicitly, imputed onto any other person/entity.

These terms outline THE MODULAR KARPENTER's commitment to providing products that meet their specifications and descriptions. The warranty covers manufacturing defects subject to specific conditions outlined in the Warranty Letter. However, it's important for customers to notify THE MODULAR KARPTENER about any alleged defects within an applicable time frame for claims under this limited warranty provision.

Overall Liability Limitation:

1. THE MODULAR KARPENTER's liability in connection with or arising out of the contractual relationship with the Customer, regardless of the legal grounds (contract, tort, or otherwise), is limited to the total fees received by THE MODULAR KARPENTER for the specific project.

2. This means that THE MODULAR KARPENTER's overall liability is capped at the amount paid by the Customer for their services related to that particular project.

Exclusion of Additional Claims:

1. Any additional claims based on default are excluded. This means that beyond any applicable warranty coverage or agreed-upon services, no further claims can be made against THE MODULAR KARPENTER.

Limitations on Types of Damages:

1. In no event shall THE MODULAR KARPENTER be liable for:

   • Negligence: Any form of negligence, including gross negligence to the extent permitted by law,

   • Indirect Damage and Consequential Damage: Losses or damages that are indirect, consequential, or resulting from unforeseen circumstances,

   • Loss of Profits and Unrealized Savings: Any financial losses due to missed opportunities or unrealized savings,

   • Acts and Omissions: Actions or failures to act on behalf of auxiliary persons employed by THE MODULAR KARPTENER or suppliers/vendors. These include both contractual and non-contractual acts/omissions.

These limitations are put in place to manage potential liabilities and risks associated with providing interior decoration services. They aim to define clear boundaries regarding compensation for any issues related to contract performance while excluding certain types of damages such as indirect losses and loss of profits.
